1. Acceptance of Terms
By accessing or using the Neosys AI Solutions website and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Neosys AI Solutions provides AI-powered software engineering services, including but not limited to custom application development, AI/ML model integration, data engineering, mobile application development, and consulting services. The specific scope and deliverables for each engagement are defined in individual project agreements.
3. Client Obligations
As a client engaging our services, you agree to:
- Provide accurate, complete, and timely information necessary for project execution.
- Designate a primary point of contact for communication and approvals.
- Review and provide feedback on deliverables within agreed-upon timelines.
- Ensure that all content, data, and materials provided to us do not infringe upon third-party rights.
4. Intellectual Property
Upon full payment, all custom code, designs, and deliverables created specifically for you are transferred to you as the client. Pre-existing tools, libraries, and frameworks used in development remain the property of their respective owners. We retain the right to reuse general knowledge, techniques, and non-client-specific components in future projects.
5. Payment Terms
Payment terms, pricing, and schedules are defined in individual project agreements or statements of work. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month on the outstanding balance.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This includes, but is not limited to, business strategies, technical architectures, API keys, data models, and unpublished product information.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Neosys AI Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our Services. Our total liability for any claim shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
8. Warranty Disclaimer
Our Services are provided "as is" and "as available." While we strive for excellence in all deliverables, we do not warrant that our Services will be uninterrupted, error-free, or that defects will always be corrected. Specific warranties, if any, will be outlined in individual project agreements.
9. Termination
Either party may terminate an engagement by providing 30 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. We will deliver all completed work product and assist with a reasonable transition period.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
11. Modifications
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our Services after modifications constitutes acceptance of the revised Terms.
